Terms of Service

1. Acceptance of Terms

By accessing or using the Fides Motus transportation management platform, including the web dashboard and iOS mobile application (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

2. Description of Service

Fides Motus provides a cloud-based transportation management system designed for trucking companies and fleet operators. The Service includes fleet tracking, dispatch management, load management, billing and invoicing, driver management, compliance tracking, settlement processing, and related operational tools.

3. Account Registration

• You must provide accurate, current, and complete information during registration
• You are responsible for maintaining the confidentiality of your account credentials
• You are responsible for all activities that occur under your account
• You must notify us immediately of any unauthorized use of your account
• Organization administrators are responsible for managing user roles and permissions within their organization

4. User Roles and Responsibilities

The Service supports multiple user roles including owner, admin, dispatcher, billing, safety, and driver. Each role has specific permissions and access levels. Organization administrators are responsible for assigning appropriate roles to their team members. Users must only access features and data appropriate to their assigned role.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable regulations
• Submit false, misleading, or inaccurate data to the Service
• Attempt to gain unauthorized access to any part of the Service or other users' data
• Interfere with or disrupt the integrity or performance of the Service
• Reverse engineer, decompile, or disassemble any aspect of the Service
• Use the Service to transmit malware, viruses, or other harmful code
• Use automated tools to scrape, crawl, or extract data from the Service beyond authorized API access
• Share your account credentials with unauthorized individuals

6. Data Ownership

You retain ownership of all data you submit to the Service, including fleet records, financial data, compliance documents, and operational information. We do not claim ownership of your data. You grant us a limited license to use your data solely for the purpose of providing and improving the Service.

Each organization's data is stored in a dedicated, isolated database deployment. We do not access, use, or share your data across organizations.

7. Mobile Application

The Fides Motus iOS application is designed for use by drivers and field personnel. By using the mobile app, you additionally agree to:

• Grant location permissions necessary for fleet tracking and operational features
• Use the app in compliance with applicable driving laws and safety regulations — do not operate the app while driving
• Keep the app updated to the latest version for security and feature compatibility
• Acknowledge that push notifications may be sent for trip assignments, alerts, and operational updates

8. Compliance and Regulatory

The Service provides tools to assist with DOT, FMCSA, and other regulatory compliance. However, you are solely responsible for ensuring your operations comply with all applicable federal, state, and local regulations. The Service is a tool to support compliance efforts — it does not guarantee regulatory compliance. You should verify all compliance-related data and consult qualified professionals for regulatory guidance.

9. Financial Features

The Service includes invoicing, settlement, and billing features. You are responsible for the accuracy of all financial data entered into the system. Fides Motus does not provide accounting, tax, or financial advice. Automated calculations (mileage, fuel surcharges, driver pay) are provided for convenience and should be verified before relying on them for business decisions.

10. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted access. We may temporarily suspend the Service for maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide advance notice of planned downtime.

11. Intellectual Property

The Service, including its design, features, code, documentation, and branding, is owned by Fides Motus and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works based on the Service without our prior written consent. "Fides Motus" and the Fides Motus logo are trademarks of Fides Motus.

12. Limitation of Liability

To the maximum extent permitted by law, Fides Motus shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Service. Our total liability shall not exceed the amount you paid for the Service in the twelve months preceding the claim.

13. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free, secure, or available at all times.

14. Indemnification

You agree to indemnify and hold harmless Fides Motus and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service, violation of these Terms, or infringement of any third party's rights.

15. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice. You may terminate your account at any time by contacting us. Upon termination, your right to use the Service ceases immediately. We will make your data available for export for a reasonable period following termination.

16. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States. Any disputes arising under these Terms shall be resolved in the appropriate courts of competent jurisdiction.
